    Abstract [sv]

Mergers in the Swedish Press2003Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

Background: During the last decades, mergers and acquisitions have filled hundreds of book and newspaper pages. Despite the great number of research works in this field, there is no much agreement about the advantages of this strategy. Some writers point out that newspapers devote more space to mergers that fail. Taking into account the widespread influence of newspapers in modern society, they way in which they picture merger outcomes and their explanations for the success or failure of this strategy should not be disregarded.

Purpose: Our purpose is to describe and analyze how different Swedish newspapers depict the outcomes of mergers.

Procedure: We chose five relatively recent cross-border mergers that involved a Swedish company. We selected several relevant articles from two general newspapers, a business newspaper and a business magazine. Following an inductive approach, we identified the factors used in those articles to depict post merger outcomes and classified them into "hard" and "soft".

Results: We found that newspapers usually evaluate the success or failure of merger taking into account the motives lying behind the merger. Synergy is given the greatest importance among both the hard and soft factors used to depict merger outcomes. Culture and the human side of mergers are soft factors not frequently treated. Indeed, it is evident that newspapers recognizetheir importance for a successful merger. Newspapers give a picture of post merger outcomes that covers both "hard" and "soft" factors while the research works selected have more partial views.

    Abstract [en]

Background: A company’s choice of capital structure is influenced by the access to internal and external capital but also by the opportunities and threats that the management perceives in the environment and the management’s attitude towards risk. How an individual perceives and interpret the environment depends on the cognitive structures, which are shaped by personality, background and earlier experiences. Accordingly cognitive structures can be expected to influence the choice of capital structure.

Purpose: Out of a cognitive perspective we intend to study the relationship between the way a company views it’s environment and what capital structure it chooses to have, in order to contribute to an increased understanding about what lies behind a company’s capital structure policy.

Delimitations: Debt policy refers to the choice of capital structure. Cognition is briefly presented as a phenomena and in relation to risk judgement in decision processes.

Realization: Our empirical studies are based on information from the annual reports of H&M, JC and Lindex from the period of 1989-2000.

Results: The studied companies have a very similar view on the environment and their capital structures are relatively similar since all of them have a high share of equity. Consequently the choice of capital structure can be said to be influenced by the company’s view on the environment even though this is not the only influencing factor.

Employees'reactions due to a reward system: a study in a sale organisation2003Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

Background: Reward systems may be used in order to encourage different behaviors and to motivate employees in accordance with a company’s intended goals and results. To be able to design a reward system that leads to desirable performances, it is of great importance to be aware of the reactions that a reward system can emanate among employees.

Purpose Statement: The purpose is to analyze and explain the reactions of employees due to a reward system that has been designed and implemented by the management.

Research Method: We have carried out interviews with 2 middle-managers, 7 employees as well as the responsible of the reward system at Telia Kundtjänst AB in Norrköping.

Result: According to our study, reactions emanating from the implementation of a reward system appear as improvements as well as deterioration of performance. Further, our study indicates that the reactions can be explained by the injustice experienced among the employees, unclear goals and a deficient communication.

Ekonomistyrning i interorganisatoriska relationer2003Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

Background: Inter-organisational ways of working have become more and more common during the last decades. In order to attain efficiency and productivity, such inter-organisational relationships need to be governed and controlled. However, studies have shown that inadequate control is one of the main reasons for why inter-organisational relationships fail. One of the means that can be used for governing and controlling a business is management control. The use of management control in inter-organisational contexts is a quite unexplored area of research at the present time, which might seem somewhat surprising considering the fact that inadequate control is a common explanation for why inter-organisational relationships fail.

Purpose: The purpose of this thesis is to describe management control in horizontal inter-organisational relationships, as well as to analyse the design of inter-organisational management control systems, using relation specific characteristics as a starting point.

Delimitation: The possible influence that trust might have on inter- organisational management control will not be discussed in this thesis.

Realisation: A case study of a network consisting of three companies that jointly develop a fuel cell air supply system for vehicle applications. The empirical data was gathered through visits at each of the three companies, including an interview with each company’s general manager.

Conclusions: The character of inter-organisational relationships can change over time, which might make it necessary to change inter-organisational management control systems. Some aspects that should be kept in mind when designing an inter-organisational management control system are: the match between the relationship and the control system, the openness within the relationship, the balance between control and commitment, as well as the trade- off between the costs and the benefits of a certain system. The possible effect that external factors might have on inter-organisational management control is yet another aspect that should be considered.

    Abstract [en]

Background: The starting point of the thesis is the growing importance of negotiations that serve to establish a relationship between the parties involved as companies’ business activities are getting more complex.

Purpose: The purpose of the thesis is to find and to analyze which elements are of importance for parties, when creating a successful negotiation with regard to building long-term relationships, and if those elements differ for sales and procurement negotiations in companies with business activities of various kinds.

Research method: The study was realized with the help of twelve qualitative interviews.

Result: The elements of importance when creating a successful negotiation with regard to building long-term relationships were mainly elements of co-operation and to some extent elements of competition. Complex and public companies did also exhibit particular elements that were of importance for these categories. The elements did not part considerably regarding purchasers, sales representatives or companies with business activities of various kinds. The elements of importance when building long-term relationships were to a great extent dependent on human elements.

Outsourcing av faktureringslösningar i näthandelsföretag (B2C)2001Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [sv]

    Abstract [en]

Background: Increasing globalization makes companies more influenced than before by actors and factors in their environment. For some this has lead to a more dynamic and complicated business context. Therefore it is of strategic importance to understand what is currently going on as well as to have a general idea of what the future brings.

Purpose: To contribute to a deeper understanding of how a corporate management can perceive its business environment and how it affects he gathering of business information from a strategic perspective.

Realisation: In-depth interviews were conducted with all four members of the management in the studied company, Volvo Competence Center in Skovde, Sweden.

Conclusions: The company's business context was perceived predominantely congruently by the management. Business intelligence was found to be linked mostly to personal areas of resposibility. A model was produced to show the connection between perception of environment and gathering of business information, and VCC was applied in this model.

The internationalisation process of the firm: a case study2004Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

Background: The Uppsala model is the most accepted paradigm regarding the internationalisation process of the firm. This thesis tries to complement the Uppsala model with Porter's theories regarding internationalisation.

Purpose: The purpose of this thesis is to study to what extent the Uppsala model is applicable to a small manufacturing firm, and to see if the theory, combined with the Porterian framework, can provide a more solid framework for the description of the internationalisation process of the firm.

Method: The master thesis is based on one personal interview with the CEO of the study object, Bukowski design.

Results: The internationalisation process of the firm can to some extent be explained using the Uppsala model. It is, however, valuable to complete the picture with, for example, Porter’s theories, that permit a deeper understanding.

Värdering under osäkra förhållanden2000Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [sv]

Cultural Impact on International Business Negotiation2002Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

Background: The increasing global business competitiveness thoroughly intensifies the demand for improvements of communication and negotiation skills in order to adjust competence to successfully conduct the work of getting treaties of cooperation and business development to work everywhere. It is simply a matter of survival for an increasing amount of multinational companies operating in all kinds of different locations and businesses around the world. This state of nature also holds for Swedish and Spanish companies, that both heavily depend on foreign trade, and whose negotiating behavior is going to be the focus of this study. For every international company facing the challenges of developing new business in foreign cultures it should be of interest to find out what would improve their business interactions. The study is therefore investigating possible ways of how to deal with cultural implications that might appear in international business negotiations.

Purpose: To study and analyze the presence of cultural impact on international business negotiations, with a special emphasis on Swedish-Spanish business negotiators.

Method: Considering negotiations as a process-oriented phenomenon observed from empirical studies of individual cases and drawing conclusions thereof, the study takes a hermeneutic qualitative-inductive interaction approach. The frame of references are constitued by a thorough spectra of well established theories developed within the fields of communication, negotiation and intercultural studies.

Result: The study proves that the behavior of negotiators are influencing the outcome of the negotiation, particularly in international contexts where the parties have different experiences, historical and cultural backgrounds as well as different perspectives on life.

Ett kognitivt branschperspektiv: Bemanningsbranschen2002Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

Background: The way in which corporate managers interpret, reason and evaluate uncertainties and constant changes, and how they take advantage of their experiences and wisdom can make a big difference for the long term survival of their companies. The requirements for efficiency and flexibility have increased in many ways, especially concerning the workforce needed and its degree of competency. In Sweden, employee recruiting industry has grown concurrently with the changes in the Swedish economy.

Purpose: The purpose is to better understand the recruiting industry by performing a theoretical evaluation from a cognitive perspective.

Delimitation: We intended to study the cognitive characteristics of the Swedish recruitment industry. Our conclusions therefore cannot be considered a "theory" regarding any industry, foreign or domestic, butmust rather be seen as a further development or an idea of how to augment the understanding for a certain industry.

Result: The converged cognitive structure of the companies grows in dialogue and interaction with the surrounding world. An industry with a shared belief system consisting of clear patterns in argumentation and ways of thinking which outline the business concept, is established. It is difficult to determine how deep and constant the wisdom, or the collected knowledge, maturity and learning of experiences in the recruitment industry is because of its short period of existence.

Varumärke, kommunikation och språk2003Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [sv]

Entering newly liberalized service markets: opportunities derived from the EU bilateral trade agreements with Mexico and Chile2003Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

Background: The service sector accounts for more than 60 percent of global output. The EU has signed bilateral trade agreements with several countries and economic blocks in order to achieve reciprocal service liberalizations. The extensive trade agreements recently signed with Mexico and Chile, are expected to pave the way for new opportunities for Swedish service companies looking to entering the Latin-American market.

Purpose: To examine which entry mode will provide service companies with the best competitive advantages when entering the Mexican or Chilean market.

Results: Strong liberalizations have been made in sectors important to Swedish service companies. This will open up new opportunities for the companies when it comes to obtaining a stronger form of control over the foreign establishment. For some sectors sole venture or joint venture could be seen as realistic alternatives, while for others trade barriers still stand in the way for a more far-reaching establishment mode.

Are legislators able to meet efficiency goals?: an analysis of the pharmaceutical industry2004Independent thesis Advanced level (degree of Magister)Student thesis
    Abstract [en]

During the last decades, legislators have tried to meet the goal of increased R&D in the pharmaceutical industry through an extension of the patent length. In parallel, an attempt to minimise ex post social costs has been made through the introduction of a shortened drug approval process for generic drugs as well as a so-called Bolar provision, giving generic producers earlier access to patented information. However, one can ask how efficient a patent extension possibility has been to meet the goal of increased R&D. Correspondingly, what effects on social costs can we expect from the introduction of an abbreviated approval process and the Bolar provision? These are questions that are dealt with in this thesis. I argue that the impact of the legislative changes have led to a decrease of ex post social cost. However, I will also show that this has lead to a detriment of ex ante R&D incentives and therefore a negative result on social welfare.
